Charged with financial integrity, internal controls, and risk management:
- Oversees financial statements and internal controls to ensure transparency and operational integrity
- Implements a comprehensive Risk Management Framework aligned with ADX and SCA standards
- Conducts reviews of internal audit reports and corrective action plans
- Monitors compliance with regulatory requirements, internal policies, and industry best practices
- Ensures effective risk management and business continuity through regular risk reviews and scenario analysis
Oversees board appointments, executive nominations, and remuneration policies:
- Oversees the nomination of membership for the Board of Directors and executive management
- Formulates and annually reviews policies on rewards, and remuneration for Board Members and employees
- Conducts performance evaluations of the Board of Directors and Board Committees
- Verifies the independence of Board Members
- Develops and oversees awareness and induction programs for Board Members
Endorses corporate strategy and oversees investment protocols:
- Endorses the corporate strategy, medium- and long-term business plans including the 5-year business plan
- Approves annual plan and budget, including amendments and assumptions
- Evaluates and endorses project feasibility studies and budgets
- Oversees changes in capital structure, including bank/credit facilities, share issues, and bonds/sukuk
- Manages investment protocols for equity, debt instruments, derivatives, and other financial assets
Oversees Sustainability, Health & Safety, CSR, and ESG Programs:
- Reviews and recommends ESG and sustainability policies and practices
- Monitors key political and regulatory trends related to ESG
- Provides oversight on ESG and CSR strategies and their implementation
- Assesses performance on ESG-related metrics, including diversity, equity, inclusion, and responsible sourcing
- Oversees environmental, health, and safety performance
